Acceptance
These Terms of Service (“Terms”) govern your access to and use of afrinews.app and related services (together, the “Services”) operated by Afrinews (“we”, “our”). By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.
Eligibility
You represent that you have reached the age of majority in your jurisdiction and have the legal capacity to contract. If you use the Services on behalf of an entity, you represent that you are authorized to bind that entity.
Description of the Services
The Services provide a news aggregation experience: we display titles, excerpts, metadata, and links to third-party content. We may change, suspend, or discontinue features at any time without liability.
User conduct
You agree not to:
- Use the Services in violation of law or third-party rights;
- Attempt to gain unauthorized access to, interfere with, disrupt, or overload the Site or related systems;
- Scrape, index, or automate access in a manner that violates these Terms or the law (subject to good-faith search engine indexing where permitted);
- Use the Services to distribute malware, spam, or deceptive content;
- Misrepresent affiliation with us or a publisher, or use the Services to harass, threaten, or harm others.
We may investigate violations and cooperate with authorities. We may suspend or terminate access at our sole discretion.
Intellectual property
The Site design, branding, compilation, software, and original text (excluding third-party content) are owned by us or our licensors. Third-party content remains the property of its owners. You receive a limited, revocable, non-exclusive, non-transferable license to access and use the Services for personal, non-commercial purposes, unless otherwise agreed in writing.
Third-party content and links
The Services may display or link to third-party sites, feeds, and platforms. We do not control third-party content, availability, accuracy, or practices. Your interactions with third parties are solely between you and them.
Disclaimer of warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY CONTENT (INCLUDING TITLES, EXCERPTS, OR LINKS) IS ACCURATE, COMPLETE, CURRENT, OR RELIABLE. YOU ACKNOWLEDGE THAT NEWS AGGREGATION MAY INCLUDE ERRORS, DELAYS, OR AUTOMATED MISTAKES.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL AFRINEWS, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE THE SERVICES, EVEN IF SUCH DAMAGE WAS ADVISED AS POSSIBLE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (USD $100) OR (B) THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM (IF ANY). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
Indemnity
You agree to defend, indemnify, and hold harmless Afrinews and its affiliates, officers, directors, employees, and agents from any claim, liability, damage, loss, cost, and expense (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms or the law; (c) your violation of third-party rights; or (d) any dispute between you and a third party regarding content accessible through the Services.
Dispute resolution; governing law
These Terms are governed by the laws of the State of Maryland, United States, without regard to conflict-of-law rules. You agree that state and federal courts located in Maryland have exclusive jurisdiction over disputes arising from these Terms or the Services, and you consent to personal jurisdiction in those courts, subject to any mandatory consumer protections in your jurisdiction.
Informal resolution
Before filing a claim, you agree to contact us at legal@afrinews.app to attempt informal resolution for at least thirty (30) days.
Class action waiver
WHERE PERMITTED BY LAW, YOU AND WE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. IF A COURT FINDS THIS WAIVER UNENFORCEABLE, THE REMAINDER OF THE TERMS REMAINS IN EFFECT.
Termination
We may suspend or terminate your access to the Services at any time, with or without cause or notice. Provisions that by their nature should survive (including warranty disclaimers, liability limitations, indemnity, and governing law) survive termination.
Changes to these Terms
We may modify these Terms at any time. We will post updated Terms and update the “Last updated” date. Continued use constitutes acceptance. If you do not agree, stop using the Services.
Miscellaneous
These Terms are the entire agreement between you and us regarding the Services and supersede prior agreements. If a provision is held invalid, the remainder remains in effect. No waiver is binding unless in writing. You may not assign these Terms without our consent; we may assign freely.
